ARTICLES OF ASSOCIATION
That Pineapple Club

Article I

Name and Organization

The name of this Private Members Association is “That Pineapple Club” (the “Association”), and is designated as an unincorporated private members association organized under laws of the United States Constitution.

Article II

Intent and Purpose

The intent for which the Association has been formed is to provide a club for members of the lifestyle community to meet. The Association consists of three or more members joined by mutual consent for the common purposes of connecting, socializing, and creating an easily accessible source of information pertaining to the entire lifestyle community. The Association may engage in any and all activities permitted to an unincorporated organization. To these ends, the Association may do and engage in any and all lawful activities that may be incidental and reasonably necessary to any of these purposes, and it shall have and may exercise all other powers and authority now and hereafter conferred upon unincorporated private members associations in the United States of America.

Article III
Office and duration

The office of the Association shall be located at the address at which the Trustee has official residence; or at such place as the Trustee may from time to time determine. The duration of the Association shall be perpetual. The death, removal, or resignation of the Trustee or any officer of the Association shall not result in the dissolution of the Association.

Article IV

Membership

Membership in the Association is open to any Male/Female Couple or any Single Females wishing to join. Single Males wishing to join must be sponsored by an existing member.

The Association is a purely voluntary organization, and membership becomes effective upon the payment of monthly, quarterly, or yearly dues. The fees for membership in the Association shall be as determined by the Trustee of the Association.

There are four categories of membership in the Association (the “Members”):

Active Member: a person actively participating in the Association and in good standing in payment of membership fees.

Inactive Member: a person with a continuing interest in the intent and purpose of the Association, but who is no longer in good standing in payment of the membership fees.

LOOP Member: a person actively participating in the Association and in good standing in payment of membership fees; a person having the ability to vote on Association matters presented by the Trustee.

Banned Member: a person having made an egregious violation of the Association’s Rules of Conduct; a person having made three non-egregious violations of the Association’s Rules of Conduct.

Article V
Privileges of Members

LOOP Members, in good standing, are eligible to vote on resolutions, brought forth by the Trustee, at special meetings of the LOOP Members.

Active Members may attend general meetings of the Members and special events, but do not have voting rights.

Inactive Members may NOT attend meetings of the Members or special events. Once current membership fees are paid, the Inactive Membership becomes an Active Membership.

Banned Members may NOT attend meetings of the Members and are BANNED FOR LIFE!

Article VI

Trustee

The affairs of the Association shall thereafter be managed by the Trustee (the “Trustee”). The Trustee has final say in all Association matters, and may overrule or veto any resolution put to a vote at any and all LOOP Member special meetings. The Founder of the Association shall act as the Trustee and serve a lifetime term.

Article VII
LOOP Members

No individual shall be qualified to serve as a LOOP Member unless he or she is a Member of the Association.

The LOOP Members may, by resolution passed by a majority of votes cast thereon at a special meeting of LOOP Members called for the purpose (of which notice specifying the intention to pass the resolution has been given), approve or deny any resolution brought forth by the Trustee.

A quorum for the transaction of business at meetings of the LOOP Members shall be a majority of the members present.

Meetings of the LOOP Members may be held at any place within State of Texas, as designated in the notice calling the meeting. Meetings of the LOOP Members may be called by the Secretary of the Association. There shall be a meeting of the LOOP Members at least once every calendar year for the purpose of organization and the transaction of any other business.

Notice of meetings of the LOOP Members shall be delivered electronically or telephoned to each LOOP Member not less than five (5) days (excluding Saturdays, Sundays and statutory holidays observed in the State of Texas before the meeting is to take place. The statutory declaration of the Secretary that notice has been given pursuant to the By-laws shall be sufficient and conclusive evidence of the giving of such notice. No formal notice of a meeting is necessary if all the LOOP Members are present or if those absent have signified their consent to the meeting being held without notice and in their absence.
Questions or resolutions arising at any meeting of the LOOP Members shall be decided by a majority vote. Each LOOP Member is authorized to exercise one vote. In the case of an equality of votes, the Trustee shall have a second or casting vote.

The LOOP Members shall receive no compensation, either directly or indirectly, for acting as such and shall not receive, either directly or indirectly, any profit from their position.

Article VIII

Officers

The officers of the Association are the president, secretary and treasurer.

The officers of the Association shall be appointed annually by the Trustee at the annual meeting of the LOOP Members for a term of one (1) year.

Article IX

Meetings and Events

Two general meetings of the Association shall be held weekly. The special meeting of LOOP Members held within twelve months following the Association’s inception shall be the annual meeting.

In addition to general meetings, special LOOP Member meetings, and the annual meeting, the Association may host special events at the discretion of the Trustee.

Article X

By-laws

The LOOP Members may pass by-laws respecting the affairs of the Association. Any by-law passed by the LOOP Members shall be confirmed by a majority of LOOP Members voting at a meeting duly called for that purpose and approved by the LOOP Members, and shall not be effective until so confirmed and approved by the Trustee.

Article XI

Not-for-profit

Expenses necessary to facilitate the purpose of the Association will be paid from membership fees and donations. The activities of the Association shall be carried on without a view to profit.

Article XII

Dissolution

The Association may be dissolved by the Trustee after two-thirds of the votes cast at a special meeting of LOOP members called for that purpose. On dissolution of the Association, the assets remaining after payment of all debts of the Association shall be transferred to the Trustee and any other Founders of the Association.

Article XIII

Amendments

Any amendment to this Constitution must be approved by a majority of the LOOP Members and sent to all members with voting rights one month prior to the meeting at which it is to be presented. No amendment shall be effective until confirmed by a two-thirds majority vote of the active LOOP Members at a meeting duly called to consider the amendment and until it has received the final approval of the Trustee.
